Corporate Counsel - Commercial Contracts

The Corporate Counsel – Commercial Contracts is responsible for contract review, assisting with business negotiations, identifying and analyzing legal issues, and drafting and revising commercial documents, including nondisclosure agreements, master service agreements, statements of work and leases. 


•    Prepare, review, negotiate, draft, and finalize a wide variety of contracts including nondisclosure agreements, maters service agreements, statements of work, distributor agreements, agency agreements, supply agreements, negotiable instruments, leases, and other legal documents so as to protect and safeguard Matthews' corporate interests.  
•    Advise and counsel internal teams with respect to the legal issues and risks associated with the commercial engagements, and the legal implications of proposed transactions or projects.
•    Responds to requests for information from internal staff and provides counsel as required re: internal inquiries. 
•    Ensure compliance with the organization’s structure, policies, and procedures while maintaining open communication and good working relationships.
•    Assist in further refining and updating all standard boilerplate templates for commercial engagements and transactions.
•    Manage multiple daily assignments and support deadlines established by commercial teams for review and return of contracts and agreements. 
•    Additional duties as assigned. 


•    Bachelor’s Degree in Law or related field
•    Advanced degree (MBA, Master’s) preferred
•    8+ years progressive legal experience in a law firm
•    5+ years in a leadership role
•    Periodic travel either locally, nationally, and/or internationally may be required.


•    Regularly required to stand; walk; sit; and talk, hear and see.  
•    Regularly/Occasionally lift and/or move up to 10 pounds. 
•    Primary work from home
